1. Who we are
dualoop Coach is provided by dualoop SRL ("dualoop", "we", "us"), a Belgian private limited company:
- registered office: Rue des Champs Elysées 18A, box 2, 1050 Ixelles, Belgium;
- enterprise and VAT number: BE 0773.979.430, RPM Brussels (French-speaking);
- contact: info@dualoop.com, the contact form at dualoop.com/contact, or post to our registered office.
That email address is also our single point of contact for users and authorities under the EU Digital Services Act, in English or French.
2. Professional use only
2.1 dualoop Coach is a professional service. You may use it only for your business or profession, not for personal or household purposes.
2.2 By creating an account, you confirm that you act for your business or profession, or for the organisation whose business email address you use, and that you may accept these Terms for it. In these Terms, "you" means that business or organisation.
2.3 We may ask you to confirm this, and we may refuse or close an account that does not meet it.
3. The Service
3.1 dualoop Coach is an AI-powered workspace that helps you think through questions and produce work such as documents and presentations (the Service). Its features, plans and limits are described in the App and on our website.
3.2 The Service uses AI models from third-party providers. You are interacting with an AI system, not a person.
3.3 If you connect other tools or AI assistants to the Service, for example with an API key, you are responsible for them and for keeping your keys secret. Their providers' terms apply to them.
4. Your account
4.1 You need an account with a business email address, and users must be at least 18. You are responsible for your login details and for all activity under your account. Tell us at once at info@dualoop.com if you suspect unauthorised use.
4.2 By creating an account, or by accepting them in the App, you accept these Terms. They are available on our website and in the App at all times.
5. Plans, fees and payment
5.1 Plans, their features, usage limits and prices are shown in the App and on our pricing page when you subscribe.
5.2 Paid plans are billed in advance through our payment provider and renew automatically until you cancel. You can cancel at any time in the App or by email; cancellation takes effect at the end of the current billing period.
5.3 Prices exclude VAT and other applicable taxes unless stated otherwise.
5.4 Every plan has usage limits. When you reach a limit, the Service may be restricted until the limit resets or you upgrade.
5.5 If a payment fails, we may suspend paid features or move your account to a free plan.
5.6 Fees are non-refundable, except where these Terms or the law provide otherwise.
6. Your content
6.1 You keep all rights in what you put into the Service (Your Content).
6.2 You give us a free, non-exclusive, worldwide licence to host, copy, process and adapt Your Content, and to let our service providers do so, only to provide and secure the Service for you and to comply with the law.
6.3 You are responsible for Your Content. You confirm that you have the rights and permissions needed to upload it, including for other people's personal data and confidential information.
6.4 We do not use Your Content to train AI models, and our AI providers' terms do not allow them to do so.
6.5 We treat Your Content as confidential. Our staff access it only to provide support you ask for, to keep the Service secure, or where the law requires.
7. AI outputs
7.1 The Service generates content with AI (Outputs). Outputs may be inaccurate, incomplete, or similar to content generated for others. You are responsible for checking Outputs before you rely on or share them, and for how you use them, including any labelling the law requires when you publish them.
7.2 Outputs are not legal, financial, medical or other professional advice.
7.3 We do not claim ownership of Outputs. You may use them for any lawful purpose that complies with these Terms.
8. Acceptable use
You must not use the Service to:
(a) break the law or infringe anyone's rights; (b) upload content you are not allowed to share; (c) create illegal, harmful, deceptive or abusive content, malicious code, cyberattacks or fraud, or content that helps develop weapons capable of mass casualties; (d) make or support decisions about individuals in recruitment, employment, education, credit, insurance or access to essential services; (e) copy, scrape, reverse engineer or extract the Service, its prompts or its knowledge base, or use the Service or Outputs to build a competing product or to train AI models; (f) get around usage limits or security measures, share your account or resell access; or (g) disrupt the Service or its other users.
9. Our rights
9.1 We own the Service, including its software, design, methodology, knowledge base and the dualoop brand. We give you a limited, non-exclusive, non-transferable right to use the Service under these Terms while your account is open.
9.2 If you send us feedback, we may use it freely.
10. Third-party services
The Service relies on third-party providers, such as AI model, hosting and payment providers, and may show third-party content, such as web pages. We are not responsible for third-party content or for services you connect yourself.
11. Data protection
11.1 Our Privacy Policy explains how we handle personal data.
11.2 When we process personal data on your behalf, our Data Processing Agreement applies and forms part of these Terms.
12. Changes
12.1 We may change the Service, including its features, plans, limits and prices, to improve it, to respond to changes in law, technology or our costs, or for security reasons.
12.2 We may change these Terms for the same reasons. We will notify you by email or in the App at least 30 days before a material change takes effect. If you do not agree, you can cancel and close your account before that date. If you keep using the Service after that date, you accept the new Terms. Price increases apply from your first billing period starting at least 30 days after we notify you.
13. Illegal content and moderation
13.1 Anyone can report content they believe is illegal to info@dualoop.com, explaining why it is illegal and where it is. We handle reports in a timely, careful and objective way, and a person takes every decision.
13.2 We may remove content, or restrict or suspend accounts, that break the law or these Terms. Where the law requires, we tell you our decision and its reasons, and you can contest it by replying to us.
14. Suspension, termination and switching
14.1 You can close your account at any time in the App. Closing it deletes your data as described in the Privacy Policy, so export what you need first.
14.2 We may suspend or end your access immediately, without notice, if you seriously or repeatedly breach these Terms, do not pay, misuse the Service, create a legal or security risk for us or others, or if the law requires it. For any other reason, we may end your account or the Service with 7 days' notice, and we refund any prepaid fees for the unused period.
14.3 You can ask us at any time, without notice or charge, to move your data to another provider or your own systems, or to erase it. For a transitional period of up to 30 days, which you may extend once, your subscription continues and we keep the Service running and your data secure, send you a full export and give you reasonable help and information, including on known risks to continuity. Your data then stays available for 30 more days; we then end the contract, tell you by email and erase your data. We provide exports in standard, machine-readable formats. The App and its databases are hosted in the EU; our Subprocessors page lists where each provider processes data.
15. Liability
15.1 We do not guarantee that it will be uninterrupted or error-free, or that Outputs will be accurate or fit for a particular purpose.
15.2 We are not liable for indirect or consequential loss, including loss of profit, revenue, business or goodwill.
15.3 Our total liability for all claims arising in any 12-month period is limited to the fees you paid us in the 12 months before the event giving rise to the first claim, or €50 if you did not pay us any fees.
15.4 Nothing in these Terms limits liability for fraud, intentional misconduct, gross negligence, death or personal injury, or any other liability that the law does not allow to be limited.
15.5 You will compensate us for third-party claims arising from Your Content or from your breach of these Terms, unless we caused them.
16. General
16.1 Belgian law governs these Terms, and the courts of Brussels have exclusive jurisdiction.
16.2 If mandatory law gives you rights that these Terms cannot limit, those rights apply.
16.3 If a clause is invalid, the rest remains in force, and the invalid clause is replaced by the valid clause closest to its purpose.
16.4 We may transfer these Terms to a company that takes over the Service. You may not transfer your account without our consent.
16.5 We are not liable for delays or failures caused by force majeure.
16.6 These Terms and the Data Processing Agreement are the entire agreement between us about the Service. These Terms are written in English. Between businesses, Articles XII.7 §1, XII.8 and XII.9 of the Belgian Code of Economic Law do not apply.
